Terms of Service

These Terms govern use of AgentBI. They are a product draft, not a law-firm opinion. Operator identity and governing law marked “TBD” should be completed before relying on them commercially.
1. Agreement
By accessing https://agentbi.online, https://demo.agentbi.online, or related APIs (the “Service”), you agree to these Terms. If you use the Service on behalf of an organization, you represent that you can bind that organization.
2. The Service
AgentBI provides business analytics for AI agents (dashboards, ROI tools, reports, and event ingest). Features depend on your plan (Free, Pro, Business, Enterprise) and subscription status. We may modify or discontinue features with reasonable notice where practicable.
3. Accounts
- You must provide accurate registration information and keep credentials confidential.
- You are responsible for activity under your account and API keys.
- We may suspend accounts for abuse, non-payment, or security risk.
4. Demo environment
The demo host is provided for evaluation, may be reset, and is typically read-only. Do not upload confidential production data to the demo. Demo credentials published for marketing are not a security warranty.
5. Acceptable use
You will not:
- Violate law or third-party rights;
- Probe, overload, or disrupt the Service except via authorized security research with permission;
- Resell the Service without agreement;
- Upload unlawful, harmful, or personal data you are not entitled to process;
- Circumvent plan limits or payment controls.
6. Customer data
You retain rights to data you submit (“Customer Data”). You grant us a license to host and process Customer Data solely to provide and secure the Service. Our handling of personal data is described in the Privacy Policy.
7. Fees
Paid plans are billed via Stripe according to the pricing shown in the product. Fees are generally non-refundable except where required by law or expressly stated. Failure to pay may downgrade entitlements to the Free plan.
8. Intellectual property
The Service software, branding, and documentation are owned by the operator or its licensors. Source code may also be available under the MIT License in the public repository; these Terms do not reduce rights granted by that license for code you obtain under MIT.
9. Confidentiality
Each party may receive non-public information from the other. Recipients will use it only for the relationship and protect it with reasonable care, except for information that is public, independently developed, or required to be disclosed by law.
10. Disclaimer
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Analytics outputs depend on the quality of data you ingest; we do not guarantee business outcomes.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE/DATA. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD IS LIMITED TO THE FEES YOU PAID US FOR THE SERVICE IN THAT PERIOD (OR USD 100 IF YOU PAID NOTHING).
12. Indemnity
You will defend and indemnify us against claims arising from your Customer Data, your misuse of the Service, or your violation of these Terms or applicable law.
13. Termination
You may stop using the Service at any time. We may terminate or suspend access for breach or risk to the platform. Upon termination, your license to use the hosted Service ends; sections that by nature should survive will survive.
14. Governing law
These Terms are governed by the laws of TBD (jurisdiction), without regard to conflict-of-law rules. Courts of TBD (venue) have exclusive jurisdiction, except where mandatory consumer protections apply.
